Scout & Stash – Partner & Licensing Terms

These Partner & Licensing Terms (the “Licensing Terms”) apply to your organization’s access to and use of the Scout & Stash materials and program (the “Licensed Materials”). These Licensing Terms are incorporated into your agreement, order form, or proposal with Scout & Stash LLC (the “Agreement”).

“Partner,” “you,” and “your” refer to the organization identified in the Agreement. “Scout & Stash,” “we,” “us,” and “our” refer to Scout & Stash LLC.

1. Ownership and Reservation of Rights

1.1 Scout & Stash Ownership

All characters (including Scout), stories, curriculum, lesson plans, activities, workbooks, videos, visuals, names, and branding associated with Scout & Stash (the “Scout & Stash IP”) are owned by Scout & Stash LLC.

You receive only a limited license as described below. You do not receive any ownership interest in the Scout & Stash IP.

1.2 Reservation of Rights

All rights not expressly granted to you in these Licensing Terms are reserved by Scout & Stash. No implied licenses are granted.

1.3 Character and Storyworld Protection

The Scout character, including the character design, personality, name, likeness, stories, visual style, and related narrative elements (the “Scout Character”), are proprietary intellectual property of Scout & Stash LLC.

Partner may not create, develop, or distribute characters, mascots, storylines, or educational materials that are substantially similar to the Scout Character or that could reasonably cause confusion with the Scout & Stash brand.

Partner may not create derivative characters, adaptations, or expanded story content involving the Scout Character without the prior written consent of Scout & Stash.

2. License Grant (Limited Use Rights)

2.1 Limited License

Subject to your full and ongoing compliance with the Agreement and these Licensing Terms, Scout & Stash grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Use, display, and distribute the Licensed Materials solely for delivering the Scout & Stash program to your members, customers, or participants.
  • Use the Licensed Materials only within your organization and only in the locations, channels, and time period specified in the Agreement.

2.2 Purpose of Use

You may use the Licensed Materials only to:

  • Facilitate Scout & Stash sessions, workshops, or family education events
  • Support internal training of your staff or facilitators
  • Promote your Scout & Stash-branded program consistent with our Brand Guidelines

Any other use is prohibited unless approved in writing by Scout & Stash.

3. Term and Access to Materials

3.1 License Term

Unless otherwise stated in the Agreement, the license term is twelve (12) months from the effective date of the Agreement (“License Term”).

3.2 Access Window

During the License Term, you will have access to the Licensed Materials (such as digital files, portals, or printed materials as agreed).

After the License Term ends, your license automatically expires and you must:

  • Stop using the Licensed Materials
  • Remove or destroy copies of the Licensed Materials in your possession

Except where required for internal archival or compliance purposes.

3.3 Renewal

Continued use of the Licensed Materials after the License Term requires renewal and written confirmation from Scout & Stash.

4. Non-Transferability and No Sublicensing

4.1 No Transfer

You may not assign, transfer, sell, lease, or otherwise convey any of your license rights to any third party without Scout & Stash’s prior written consent.

4.2 No Sublicensing

You may not grant sublicenses to the Licensed Materials.

Third-party facilitators or vendors may only use the materials on your behalf if:

  • They operate under your direct control and contract
  • They agree to comply with these Licensing Terms

You remain responsible for their actions.

5. Brand Guidelines and Use of Marks

5.1 Brand Guidelines

You agree to follow the Scout & Stash brand guidelines provided to you (“Brand Guidelines”).

This includes:

  • Using approved logos and artwork only as provided
  • Not altering Scout & Stash characters or logos without written permission
  • Representing the program in a manner consistent with the Scout & Stash mission

5.2 Use of Names and Logos

Scout & Stash grants you a limited right to use the Scout & Stash name, logo, and related marks solely to promote and deliver the licensed program.

All goodwill generated from the use of these marks belongs to Scout & Stash.

5.3 Approval of Co-Branding

Co-branded materials combining Scout & Stash branding with your organization’s branding may require review and approval by Scout & Stash.

5.4 Facilitator Representation

You may not represent that your organization or staff are “certified,” “official,” or “authorized” Scout & Stash facilitators unless they have completed applicable Scout & Stash training requirements and remain in good standing.

5.5 Attribution

Where reasonably practical, the following attribution should appear on Scout & Stash materials:

6. Restrictions

Except as expressly permitted in these Licensing Terms, you must not:

  • Copy or distribute the Licensed Materials outside your organization or program scope
  • Modify or create derivative works from the Licensed Materials beyond minor facilitation adjustments
  • Use the materials as the basis for your own curriculum or competing program
  • Remove copyright or trademark notices
  • Use Scout & Stash IP in ways that could damage the brand or reputation
  • Create stories, videos, books, or other narrative content featuring the Scout Character beyond the Licensed Materials
  • Analyze, reverse engineer, deconstruct, or attempt to recreate the Scout & Stash program structure or educational framework

If you are unsure whether a use is permitted, you must obtain written approval from Scout & Stash.

7. No Guarantees or Results

7.1 No Performance Guarantees

Scout & Stash does not guarantee specific outcomes such as:

  • program participation levels
  • financial literacy improvements
  • member growth or acquisition

7.2 Your Responsibility

You are responsible for:

  • implementing the program in your organization
  • training and supervising staff
  • any representations made to participants

8. Compliance and Legal Responsibilities

8.1 Your Compliance

You are responsible for complying with all applicable laws, regulations, and internal policies, including:

  • privacy and data protection laws
  • children's privacy requirements
  • financial services regulations

8.2 Participant Relationship

You maintain the primary relationship with your members or participants and are responsible for all communications, disclosures, and consent requirements.

9. Confidentiality

Any non-public information shared by Scout & Stash (such as training resources or internal guides) must be treated as confidential and used only for implementing the Scout & Stash program.

10. Feedback

If you provide feedback, suggestions, or ideas regarding the Scout & Stash program or Licensed Materials, you grant Scout & Stash a perpetual, royalty-free right to use and incorporate that feedback without obligation to you.

11. Publicity

Unless otherwise agreed in writing, Scout & Stash may identify your organization as a Scout & Stash program partner or customer in marketing materials, presentations, case studies, or on our website.

No confidential information will be disclosed without permission.

12. Termination of License

12.1 Termination for Cause

Scout & Stash may suspend or terminate your license immediately if:

  • you materially breach these Licensing Terms
  • your use of the program harms the Scout & Stash brand

12.2 Effect of Termination

Upon termination you must:

  • stop using the Licensed Materials
  • remove Scout & Stash content from platforms and marketing materials
  • complete any requested program wind-down steps

13. Disclaimer and Limitation of Liability

13.1 “As-Is” Basis

Licensed Materials are provided “as is.”

Scout & Stash makes no warranties regarding accuracy, completeness, or performance.

13.2 Limitation of Liability

Scout & Stash’s total liability will not exceed the total fees paid for the License Term during which the claim arose.

Scout & Stash will not be liable for indirect or consequential damages, including lost profits or data.

14. Priority and Conflicts

If these Licensing Terms conflict with the main Agreement, these Licensing Terms will govern with respect to ownership and use of the Licensed Materials unless the Agreement specifically overrides them.
